General Terms and Conditions of cycura GmbH

§ 1 Scope of Application

(1) These General Terms and Conditions (hereinafter “GTC”) apply to all contracts between cycura GmbH, Bismarckstraße 1, 37574 Einbeck (hereinafter “cycura” or “Contractor”) and its customers (hereinafter “Client”) regarding the provision of IT security consulting, managed security services, and related services.

(2) Deviating, conflicting, or supplementary general terms and conditions of the Client shall only become part of the contract if and to the extent that cycura has expressly agreed to their validity in writing.

(3) These GTC shall also apply to all future business relationships, even if they are not expressly agreed upon again.

§ 2 Subject Matter of the Contract and Scope of Services

(1) The scope of services to be provided by cycura is determined by the respective offer, service description, or individual contract (hereinafter “Contract”).

(2) cycura shall provide its services in accordance with the state of the art and in compliance with the relevant legal provisions, in particular the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).

(3) Changes to the scope of services require a written agreement between both contracting parties (change request).

§ 3 Obligations of the Client to Cooperate

(1) The Client shall provide cycura with all information, data, access, and documents required for the provision of services in a timely and complete manner.

(2) The Client shall designate a responsible contact person who is available for the duration of the cooperation and is authorized to make binding decisions.

(3) Delays resulting from a breach of the Client’s obligations to cooperate shall not be at the expense of cycura. Additional costs arising from such delays shall be borne by the Client.

§ 4 Remuneration and Payment Terms

(1) The remuneration shall be governed by the respective contract. All prices are exclusive of statutory VAT.

(2) Invoices are due for payment within 14 days of issuance without deduction, unless otherwise agreed.

(3) In the event of default in payment, cycura is entitled to charge default interest at a rate of 9 percentage points above the applicable base interest rate.

§ 5 Confidentiality and Data Protection

(1) Both parties undertake to treat all confidential information obtained in the course of the cooperation as confidential and to use it only for the contractually agreed purposes.

(2) The obligation of confidentiality shall continue to apply after termination of the contractual relationship.

(3) If cycura processes personal data on behalf of the Client in the course of providing services, the parties shall conclude a data processing agreement in accordance with Art. 28 GDPR.

§ 6 Liability

(1) cycura shall be liable without limitation for damages resulting from injury to life, body, or health caused by a breach of duty by cycura or by an intentional or negligent breach of duty by a legal representative or vicarious agent.

(2) For other damages, cycura shall only be liable insofar as these are based on an intentional or grossly negligent breach of duty by cycura, a legal representative, or a vicarious agent.

(3) Liability for indirect damages, in particular loss of profit, is excluded to the extent permitted by law.

§ 7 Term and Termination

(1) The term of the contract is determined by the respective contract.

(2) The right to extraordinary termination for good cause remains unaffected.

(3) Terminations must be made in writing.

§ 8 Final Provisions

(1) The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) The place of jurisdiction for all disputes arising out of or in connection with this contract shall be Einbeck, provided that the Client is a merchant, a legal entity under public law, or a special fund under public law.

(3) Should any provision of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
